General Terms and Conditions

These General Terms and Conditions apply to all offers, proposals, assignments and agreements of Bonjourney. By working with us, you agree to these terms, unless explicitly agreed otherwise in writing.

1. Who we are

Bonjourney is a design-driven collective of independent specialists in strategy, design and technical delivery. Bonjourney acts as the contractual party towards the Client and is responsible for coordinating the agreed services.

2. Nature of the collaboration

Bonjourney operates as a design partner, supporting organisations in gaining insight, direction and coherence in digital challenges.

Our services are aimed at enabling informed decision-making and developing appropriate solutions. The final outcomes of any engagement depend in part on context, decision-making and choices made by the Client.

Bonjourney commits to performing its services with due care and professionalism, but does not guarantee commercial, organisational or technical results.

3. Formation of the agreement

An agreement is formed upon written or digital confirmation of a proposal, quotation or assignment description. All proposals are non-binding unless explicitly stated otherwise.

4. Working method and phasing

Bonjourney generally works in a phased and iterative manner.Insights, designs and results from earlier phases serve as input for subsequent phases, but do not constitute a guarantee of specific outcomes at later stages.

The Client is actively involved in alignment, feedback and decision-making. Client decisions may affect planning, scope and final outcomes.

5. Engagement of specialists

For each assignment, Bonjourney assembles a suitable team from its collective of independent specialists and, where necessary, external partners.

Bonjourney remains the primary point of contact for the Client.Bonjourney is not liable for shortcomings of engaged third parties, unless such shortcomings result from intent or gross negligence on the part of Bonjourney.

6. Client responsibilities

The Client is responsible for:

providing accurate and complete information in a timely manner
being available for alignment, consultation and decision-making
providing timely feedback and approvals

If delays occur due to the Client, Bonjourney may adjust the planning and, where applicable, charge additional costs.

7. Changes and additional work

Changes to scope, content or planning are considered additional work, unless agreed otherwise. Additional work will only be carried out after alignment and may be invoiced separately.

8. Follow-up assignments and service packages

After completion of an assignment, the collaboration may be continued through:

separate follow-up assignments
prepaid service packages (hour bundles)
additional trajectories involving specific specialists

Each of these constitutes a new agreement or an explicit amendment to the existing collaboration.

9. Fees and payment

All fees are exclusive of VAT and other costs, unless stated otherwise.Invoices must be paid within 14 days of the invoice date.

In the event of non-payment, Bonjourney may suspend its services.Late payments may be subject to statutory interest and reasonable collection costs.

10. Intellectual property

All intellectual property rights relating to designs, concepts, strategies, methodologies, formats, documentation and other deliverables remain with Bonjourney, unless agreed otherwise in writing.

Upon full payment, the Client is granted a right of use for the agreed purpose.Source files, methods and underlying frameworks are only transferred if explicitly agreed, for example in the proposal or assignment description.

11. Liability

Bonjourney is only liable in cases of demonstrable intent or gross negligence.

Any liability is limited to the amount invoiced for the relevant assignment.Liability for indirect damage, consequential loss, loss of revenue or profit, missed savings or market success is excluded.

12. Force majeure

In the event of force majeure, Bonjourney is entitled to suspend its obligations for the duration of the force majeure situation.

Force majeure includes, but is not limited to, illness, technical failures, system or network outages, external dependencies and government measures.

13. Privacy

Bonjourney processes personal data in accordance with applicable laws and regulations.Further details regarding the processing of personal data and its purposes are set out in the privacy statement on the website.

14. Amendments to the terms

Bonjourney reserves the right to amend these General Terms and Conditions. Amended terms take effect upon publication on the website.

15. Governing law

All agreements are governed by Dutch law. Any disputes shall be submitted to the competent court in the Netherlands.
